Parties

These Terms and Conditions form an agreement between Solanki Technologies Limited (“Solanki”, “we”, “our”), and any individual or business (“Client”, “you”) who uses our website or engages our services. By placing an order, purchasing a package, requesting a quote, or using any service provided through solanki.co.nz, you agree to these Terms.

Services Provided

• Website design and development
• Custom software solutions
• Cloud and AWS-based services
• System integration
• Database and backend development
• SEO and performance optimisation
• Hosting setup and configuration
• General technical consultancy

Each plan, package, or custom scope will be defined on the website or in a written proposal or quote. Unless explicitly included in your plan, the service does not cover ongoing maintenance, content writing or image creation, third-party subscription fees, stock images, or software licences, hosting or domain renewals. These may be offered separately.

Client Responsibilities

• Provide clear and accurate information needed for us to complete your project, including text, images, logos, brand assets, hosting or domain credentials, approvals, and feedback.
• Delays in supplying required content or feedback may shift project timelines.
• You are responsible for ensuring you have the right to use all content you provide.
• For hosting services or live websites, you must not use the website for unlawful, harmful, or abusive activity.
• Solanki may provide you with access credentials, passwords, or keys for services required to deliver your project, including hosting accounts, domain accounts, and AWS or cloud services. You are solely responsible for keeping these credentials secure and using them appropriately. Any loss, exposure, misuse, or unauthorized access is the Client’s responsibility, and Solanki is not liable for any costs, damages, or losses resulting from such incidents, including charges incurred through cloud or AWS services.

Currency Notice

• All prices listed on this website are in New Zealand Dollars (NZ$) unless otherwise stated.

Payment Terms

Fees are listed on the website or in a written quote or invoice. All payments must be made in NZD unless otherwise agreed.

• For fixed-price plans: Work begins only after the required deposit is received. All deposits will be deducted from the total project fee.
• For custom or complex projects: A milestone or staged payment schedule may apply.
• Late or overdue invoices may result in work being paused until payment is received.

Delivery, Timeline, and Revisions

• Any timeline offered is an estimate, not a guarantee. Delivery depends on the Client supplying timely content, approvals, and third-party access.
• Packages include a defined number of revision rounds.
• Requests outside the initial scope, including extra pages, redesigns, or feature changes, may incur additional fees.

Intellectual Property and Licensing

• Solanki retains ownership of any pre-existing intellectual property, internal frameworks, templates, and development tools used to complete your project.
• Once full payment is received: You receive a licence to use the final deliverables for your business.
• Solanki may reuse non-client-specific components, code, and design patterns in future projects.
• Unless you request otherwise in writing, Solanki may display your completed project in our portfolio or marketing materials.
• You may not resell or redistribute any Solanki internal frameworks, templates, or code without written permission.

Hosting / Domain

• Hosting and domain fees are not included in the package. We can guide you to affordable options if needed.

Warranty, Liability, and Disclaimers

• Solanki will perform services with reasonable skill and care.
• However, we do not guarantee completely error-free or uninterrupted operation, compatibility with all devices, browsers, plugins, or systems, or performance or requirements of third-party platforms (hosting providers, CMS systems, APIs).
• To the extent permitted by New Zealand law, Solanki is not liable for indirect or consequential damages such as lost revenue, lost data, or downtime.
• Our total liability for any claim is limited to the amount paid for the service in question.
• Solanki is not responsible for downtime or issues caused by third-party hosting providers or external services.

Contract Variation, Cancellation, and Refunds

• Once a project or package has started, cancellation may not entitle you to a full refund.
• Solanki may retain payment for work completed up to the date of cancellation.
• If Solanki cannot deliver a project for reasons within our control, a refund, partial refund, or adjusted scope will be offered as fair and reasonable.
• Requests for refunds must be made in writing within 14 days of delivery or invoice.

Acceptable Use of Website

• You must not misuse solanki.co.nz by attempting hacking, injecting malicious code, scraping, or engaging in unlawful activities.
• Solanki may suspend access to the website or refuse service if misuse or breach of these Terms occurs.

Privacy and Data

• Solanki collects personal information such as name, email, phone number, and project details when you contact us or purchase a service.
• We use this information to communicate with you, provide services, prepare invoices and records, and improve our offerings.
• Your information is stored securely and only shared with third parties when required to deliver the service or comply with law.
• You may request access to or correction of your data at any time.
• Use of our services constitutes agreement to our Privacy Policy.

Governing Law and Disputes

• These Terms are governed by the laws of New Zealand.
• Any dispute will be handled by the New Zealand courts.
• Both parties agree to attempt to resolve any dispute through direct communication or mediation before pursuing court action.

Changes to Terms

• Solanki may update these Terms from time to time.
• The version published on solanki.co.nz at the time you place an order or accept a quote is the version that applies to that service.
